Welcome to the services of Al-Muraba Information Technology, Research and Training Company (hereinafter referred to as "Al-Muraba", "we", "us", or "the Company"). These Terms of Service ("Terms") govern your access to and use of our services.

Important: By using, accessing, or registering for our services, you agree to be bound by these Terms. If you do not agree to any of these Terms, please do not use our services.

If you are using the Services on behalf of an organization or entity, you represent that you are authorized to bind that entity to these Terms, and the term "you" refers to that entity.

"Services": All systems, applications, and software platforms provided by Al-Muraba, including Enterprise Resource Planning (ERP) systems, workflow management systems, and web and mobile applications.
"User" or "You": Any natural or legal person who accesses or uses the Services.
"Account": The registered user account for accessing the Services.
"Content": Any text, data, files, or information uploaded or entered into the Services.
"Subscription": The paid plan that grants access to specific features of the Services.
"Client": The entity or organization that contracts with Al-Muraba to obtain the Services.
"End User": Individuals who use the Services through a Client's account.

Article 3: Description of Services

Al-Muraba provides Software as a Service (SaaS) solutions that include:

Membership and subscription management
Records and document management
Attendance and leave management

3.2 Workflow Management Systems

Process and approval automation
Request and transaction management
Task and project tracking
Reports and statistics management

3.3 Electronic Payment Services

We provide integration with certified electronic payment service providers to facilitate financial transactions. These services are subject to the terms and conditions of third-party payment providers.

Note: Services can be accessed via web browsers and mobile applications (iOS and Android).

Article 4: Registration and Account

4.1 Account Creation

To access our services, you may need to create an account. When registering, you agree to:

Provide accurate, complete, and current information
Update your information when it changes
Maintain the confidentiality of your login credentials
Notify us immediately of any unauthorized use of your account

4.2 Eligibility

Article 5: Subscriptions and Fees

5.2 Pricing and Payment

All prices are in Iraqi Dinars unless otherwise stated
Payment is due in advance for the selected subscription period
Prices may be subject to additional taxes in accordance with applicable laws
We accept payment methods specified on our platform

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each period unless you cancel at least 15 days before the renewal date.

5.4 Refund Policy

Full refund can be requested within 14 days of initial subscription
No refunds after the 14-day period
If we cancel the service, you will receive a pro-rata refund for the unused period

5.5 Price Changes

We reserve the right to modify prices. You will be notified of any changes at least 30 days before they take effect on your subscription.

Article 6: Acceptable Use

You agree to use the Services in a lawful and responsible manner. Acceptable use includes:

Using the Services for legitimate purposes only
Complying with all applicable laws and regulations
Respecting intellectual property rights
Maintaining confidentiality of processed data
Cooperating with us in security investigations when needed

Article 7: Prohibited Use

Warning: Any violation of these prohibitions may result in immediate suspension or termination of your account without prior notice, and we reserve the right to take appropriate legal action.

Article 8: Content and Data

You retain ownership of the content you upload or enter into the Services. By entering content, you grant us a non-exclusive license to use it to the extent necessary to provide the Services.

8.2 Content Responsibility

You are solely responsible for:

Obtaining necessary rights and consents
Maintaining backup copies of your data

We reserve the right to remove any content that violates these Terms or applicable laws, without prior notice.

Trademarks and logos
Documentation and educational content

9.2 License Granted

We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms and your subscription plan.

9.3 Restrictions

Copy, modify, or distribute the Services
Reverse engineer the software
Remove proprietary notices
Use our trademarks without permission

Article 10: Privacy and Data Protection

Article 11: Availability and Technical Support

Article 12: Disclaimer of Warranties

That the Services will be error-free or uninterrupted
That the Services will meet all your requirements
The accuracy or reliability of any information obtained through the Services
That defects will be corrected

Article 13: Limitation of Liability

13.1 Maximum Liability

To the maximum extent permitted by law, Al-Muraba's total liability to you for any claims arising from these Terms or use of the Services shall not exceed the amount you paid us during the twelve (12) months prior to the incident giving rise to the claim.

13.2 Exclusion of Damages

Al-Muraba shall not be liable under any circumstances for:

Indirect, incidental, or consequential damages
Loss of profits, revenue, or data
Cost of obtaining substitute services
Any damages exceeding the amount paid

13.3 Exceptions

These limitations do not apply to liability arising from:

Gross negligence or intentional misconduct
Death or personal injury
What cannot be legally excluded

Article 14: Indemnification

You agree to indemnify and hold harmless Al-Muraba, its officers, and employees from any claims, losses, damages, or costs (including attorney fees) arising from:

Your use of the Services
Your violation of these Terms
Your violation of any third party's rights
Content you upload or enter

Article 15: Suspension and Termination of Services

15.1 Suspension

We may immediately suspend your access to the Services in the following cases:

Violation of these Terms
Non-payment of due fees
Suspicious or fraudulent activities
Request from a government or judicial authority
Risk to the security of Services or other users

15.2 Termination by You

You may terminate your subscription at any time through:

Contacting the support team

15.3 Termination by Us

We may terminate your account or Services:

With 30 days prior notice for any reason
Immediately in case of material breach of these Terms

15.4 Effects of Termination

Upon termination:

Your right to access the Services ends
Paid fees will not be refunded (unless otherwise stated)
You may request export of your data within 30 days of termination
Your data will be deleted according to the Data Deletion Policy

Article 16: Force Majeure

Al-Muraba shall not be liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including:

Natural disasters
Wars or terrorist acts
Epidemics
Power or communication outages
Government actions
Failure of third-party service providers

Article 17: Amendments to Terms

We reserve the right to amend these Terms at any time. In case of material amendments:

We will notify you via email or through a prominent notice in the Services
We will update the "Last Modified" date at the top of these Terms
Amendments will become effective 30 days after notification

Your continued use of the Services after the amendments take effect means your acceptance of the amended Terms. If you do not agree to the amendments, you must stop using the Services.

Article 18: General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, Data Deletion Policy, and any additional agreements, constitute the entire agreement between you and Al-Muraba.

18.2 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent.

18.3 Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.4 No Waiver

Failure to exercise any right under these Terms shall not constitute a waiver thereof.

18.5 Relationship of Parties

These Terms do not create any partnership, agency, or employment relationship between us.

Article 19: Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Iraq.

19.1 Dispute Resolution

In case of any dispute:

Amicable Settlement: The dispute shall first be referred for amicable settlement within 30 days
Mediation: If amicable settlement fails, mediation may be sought
Litigation: The competent courts in Baghdad, Iraq shall have jurisdiction over disputes

19.2 Authoritative Version

In case of any conflict or difference in interpretation between the Arabic and English versions of these Terms, the Arabic version shall prevail and be the legally binding reference.
